We refer to the above subject and our opinion dated January 29, 2007.

You have made some changes to the Memorandum of Understanding to be executed between Bank 1 and Company 1 (“MOU”). Some of the changes were in pursuance of our opinion and some further changes were made by you.

We have perused the terms and conditions of the AMMENDED MOU and find the same to be in order.
